Terms & Conditions Policy

1. ACCEPTANCE OF TERMS

By engaging NexxLevel Bookkeeping & Tax Services LLC ("NexxLevel," “we,” “us,” or “our”) for bookkeeping, accounting, payroll, consulting, advisory, business formation, tax preparation, tax compliance, or any related professional service (“Services”), the client (“Client,” “you,” or “your”) agrees to be bound by these Terms & Conditions.

These Terms constitute a legally binding agreement and supersede any prior written or verbal discussions.

2. SCOPE OF SERVICES

NexxLevel provides virtual and in-person services including, but not limited to:

  • Bookkeeping & accounting services

  • Payroll processing and payroll tax filings

  • Tax preparation (individual, business, federal, state, local)

  • Tax planning and advisement

  • Business formation and entity compliance

  • Financial reporting and reconciliations

  • CFO and financial consulting services

  • Federal & state compliance support

  • Clean-ups, catch-ups, and historical bookkeeping

Service scope is defined in the written engagement or onboarding agreement. NexxLevel is not responsible for tasks outside of the agreed scope.

3. CLIENT RESPONSIBILITIES

To ensure accurate and timely service delivery, the Client agrees to:

  1. Provide complete, accurate, and timely financial information, records, and documentation.

  2. Grant NexxLevel access to banking, financial, payroll, and accounting systems as needed.

  3. Notify NexxLevel immediately of any changes affecting the business, legal structure, financial accounts, employees, or reporting obligations.

  4. Review reports, filings, and deliverables promptly and notify NexxLevel of discrepancies within five (5) business days.

  5. Maintain compliance with federal, state, and local laws regarding tax filings, payroll, and reporting.

NexxLevel is not responsible for errors caused by incorrect, missing, or delayed information from the Client.

4. FEES, BILLING & PAYMENT TERMS

  1. Fees are due as stated in the engagement letter, invoice, or monthly subscription agreement.

  2. All invoices are due upon receipt, unless otherwise agreed in writing.

  3. Late payments may incur:

    • Late fees up to 15%, and/or

    • Suspension of services until the account is paid in full.

  4. Reinstatement after service interruption may require full payment of outstanding balances and an additional reactivation fee.

  5. Tax preparation fees must be paid before any return is filed, released, or transmitted.

5. NO GUARANTEE OF OUTCOME

NexxLevel does not guarantee:

  • Tax refunds or tax liability outcomes

  • IRS or state approval of filings

  • Audit results

  • Loan approvals or financing outcomes

  • Business profitability or financial performance

All financial outcomes depend on information provided by the Client and external regulatory agencies.

6. CONFIDENTIALITY

NexxLevel maintains strict confidentiality of all client information in accordance with state and federal privacy laws.
We will not disclose client information to third parties unless:

  • Required by law

  • Authorized by the Client in writing

  • Necessary to perform contracted services (e.g., filing agencies)

7. DATA SECURITY & DIGITAL ACCESS

Because services are provided virtually nationwide, the Client agrees to:

  • Grant required secure access to financial systems

  • Agree to communication through email, portals, secure document upload, or accounting software platforms

  • Acknowledge that delays in providing access may delay services

NexxLevel uses industry-standard security practices but cannot guarantee absolute protection from cyber threats, system outages, or third-party software failures.

8. RECORD RETENTION

NexxLevel retains copies of essential working papers and documents for five (5) years unless required longer by law.
Clients are responsible for retaining original financial and tax documents for their records.

9. SERVICE MODIFICATION OR TERMINATION

Either party may request modifications to service scope; adjustments must be agreed upon in writing and may affect pricing.

10. CANCELLATION POLICY – 30-DAY NOTICE (MANDATORY)

The Client must provide a written 30-day notice to cancel or terminate any ongoing service agreement, including bookkeeping, payroll, tax compliance, consulting, or subscription-based services.

Upon receipt of cancellation notice:

  1. NexxLevel will continue providing services for the remaining 30 days unless otherwise agreed.

  2. A final invoice will be issued covering:

    • Outstanding monthly fees

    • Work completed during the 30-day period

    • Any additional hourly cleanup or administrative time

    • Any third-party software, payroll, or platform fees

The final invoice must be paid in full before records, reports, or documents are released.

Failure to provide the required 30-day written notice will result in a charge equal to one full month of service fees, billed immediately.

11. TERMINATION BY NEXXLEVEL

We reserve the right to suspend or terminate services immediately if:

  • The Client fails to pay invoices

  • The Client provides fraudulent or misleading financial information

  • The Client engages in abusive or unethical behavior

  • Continuation of the relationship may expose NexxLevel to liability or reputational harm

  • The Client refuses to cooperate or provide required documentation

Upon termination, a final invoice will be issued.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • NexxLevel shall not be liable for indirect, incidental, punitive, or consequential damages.

  • NexxLevel’s total liability for any claim shall not exceed the amount paid by the Client for services during the previous three (3) months.

  • NexxLevel is not responsible for penalties, interest, or financial loss resulting from:

    • Missing or inaccurate client information

    • Delayed client responses or document submissions

    • System failures or third-party software providers

    • Regulatory agency delays

13. INDEMNIFICATION

The Client agrees to indemnify and hold harmless NexxLevel, its owners, employees, and contractors against claims, losses, liabilities, and expenses resulting from:

  • Misrepresentation of financial information

  • Client errors or omissions

  • Fraudulent or illegal activity

  • Failure to comply with tax, payroll, or business laws

14. GOVERNING LAW

These Terms & Conditions are governed by the laws of the State of Washington, regardless of the Client’s physical location.
Disputes shall be resolved in Pierce County or King County, Washington, unless otherwise agreed in writing.

15. AMENDMENTS

NexxLevel may update these Terms at any time. Continued use of services constitutes acceptance of updated terms.

16. ENTIRE AGREEMENT

These Terms & Conditions, along with any signed engagement letter, represent the entire agreement between NexxLevel and the Client.
